These Terms & Conditions apply to all products, content, and services offered by Simple Crypto Advice, including but not limited to those sold or accessed through our official website (simplecryptoadvice.com), as well as affiliated platforms such as Systeme.io, Instagram, TikTok, Facebook, and any other official Simple Crypto Advice sales or content channels.
These Terms and Conditions ("Terms") govern your use of all digital products and courses ("Products") provided by Simple Crypto Advice ("Company", "we", "our", or "us"). By checking the box on our checkout page and completing your purchase, you ("Customer", "You", or "Your") agree to be bound by these Terms.
PLEASE READ THESE TERMS CAREFULLY BEFORE MAKING A PURCHASE. BY COMPLETING YOUR PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
By using our Products, you represent and warrant that:
2.1 Access Duration. Upon purchase, you are granted access to the purchased Product for the lifetime of that specific Product, subject to these Terms and your continued compliance with them.
2.2 Product Updates vs. New Products.
2.3 Platform Changes and Service Continuity. We reserve the right to change hosting platforms or delivery methods for your Product. If we migrate to a new platform, you will be provided access to your purchased content at no additional cost, with reasonable notice where possible.
2.4 Business Closure or Product Discontinuation. If we cease operations or discontinue a Product, we will make reasonable efforts to provide you with downloadable copies of your purchased materials or advance notice. "Lifetime access" means the lifetime of the Product offering, not an absolute guarantee of perpetual access.
3.1 Ownership. All content provided in our Products, including videos, PDFs, graphics, and written material, is the sole intellectual property of Simple Crypto Advice and is protected by copyright law.
3.2 Limited License. You are granted a limited, non-exclusive, non-transferable, revocable license for personal use only. This license does not grant you any ownership rights.
3.3 Prohibited Uses. You may not share, distribute, reproduce, copy, resell, or post any part of our content to public websites or social media, or use it to teach others without written permission.
3.4 Use of Likeness & AI Restrictions. You may not use any photograph, video, voice, or likeness of Sheryl or Simple Crypto Advice for the purpose of training, generating, or reproducing content through artificial intelligence or machine learning technologies, including deepfakes or voice cloning. Any such use is strictly prohibited and may result in termination of access and legal action.
3.5 Enforcement. Unauthorized use may result in immediate revocation of access without refund and potential legal action.
4.1 Payment Processing. All payments are processed through third-party payment processors. By making a purchase, you agree to the payment processor's terms of service.
4.2 Pricing and Currency. All prices are stated in U.S. Dollars unless otherwise indicated. Prices are subject to change at any time without notice. Price changes do not affect existing purchases.
4.3 Taxes. You are responsible for any applicable sales tax based on your location. We will collect such taxes where required by law.
4.4 Chargebacks and Disputes. If you initiate a chargeback or payment dispute without first contacting us at sheryl@simplecryptoadvice.com to resolve the issue, we reserve the right to terminate your access to all Products and pursue collection of the disputed amount plus any associated fees. If you have a legitimate concern, please contact us first so we can work toward a resolution.
5.1 Educational Purpose Only. Cold Wallet Confidence™ and all related materials are for educational and informational purposes only. Sheryl is an educator, not a licensed financial advisor, investment professional, or attorney.
5.2 No Professional Advice. We do not provide and you should not construe our content as investment advice, coin recommendations, brand-specific setup instructions, legal advice, or tax advice. Consult a licensed professional before making financial decisions.
5.3 Your Responsibility. You are solely responsible for your own decisions regarding cryptocurrency storage, transfers, and security, for compliance with applicable laws, and for seeking appropriate professional advice.
5.4 No Client Relationship. Purchase of our Products does not create a professional advisory relationship, fiduciary duty, or confidential relationship between you and Simple Crypto Advice beyond the scope of the educational Product provided.
5.5 No Investment Recommendations. Nothing in our Products constitutes a recommendation to buy, hold, or sell any particular digital asset. Our content is limited to general education about cryptocurrency storage, security, and cold wallet usage. Any references to specific cryptocurrencies are for illustrative or educational purposes only. The value, legal status, and regulatory treatment of any cryptocurrency may change over time, and you are solely responsible for conducting your own research and making your own investment decisions.
6.1 No Guarantees. We make no guarantees, representations, or warranties regarding the security of your cryptocurrency, your ability to avoid loss, theft, or scams, or any specific outcome from using our Products.
6.2 Factors Affecting Outcomes. Your results depend on numerous factors outside our control, including your own diligence in following the steps taught, the security practices of third-party wallets and exchanges, and evolving scam tactics.
6.3 Testimonials. Testimonials reflect individual experiences of actual customers, are not independently verified, and do not guarantee that you will have the same experience.
7.1 Advertising Standards. All advertising conducted on Meta platforms (Facebook, Instagram) and TikTok complies with each platform's advertising policies, including restrictions on financial and cryptocurrency-related content.
7.2 Transparent Disclosure. We clearly disclose that this course is educational only, does not guarantee outcomes, and does not provide investment advice.
8.1 Your Technical Responsibility. You are responsible for maintaining a reliable internet connection, using a compatible device and up-to-date browser, and managing your login credentials securely.
8.2 No Technical Support Guarantee. While we strive to provide responsive support, we do not guarantee resolution of technical issues caused by your device, internet service, or third-party software.
8.3 Platform Availability. We strive for continuous availability but do not guarantee uninterrupted access due to maintenance, third-party outages, or circumstances beyond our reasonable control. No refunds will be issued for temporary service interruptions.
9.1 Inherent Risk. You acknowledge that cryptocurrency ownership and storage carry inherent risks, including the risk of permanent loss due to user error, lost credentials, scams, or theft.
9.2 Your Acceptance of Risk. You assume full responsibility for all decisions made based on our Products, your implementation of the steps taught, and any outcomes or consequences of your actions.
9.3 Release of Liability. You agree that Simple Crypto Advice and its owner are not liable for any losses resulting from your use of our Products or implementation of the steps taught.
9.4 No Custody or Access to Funds. Simple Crypto Advice never asks for, requests, stores, or has access to your seed phrase, private keys, wallet credentials, exchange login information, or funds at any time. We do not custody, hold, transfer, or have any control over your cryptocurrency. Any communication claiming to be from Simple Crypto Advice that requests this information is fraudulent, and you should not respond to it.
10.1 All Sales Final. All sales are final. Due to the digital nature of our Products, including Cold Wallet Confidence™ and any related bonus materials, we do not offer refunds, exchanges, or credits once a purchase is completed.
10.2 No Refunds Under Any Circumstances. This includes but is not limited to change of mind, failure to access or use the Product, or dissatisfaction with the content.
10.3 Non-Delivery or Access Issues. If you experience a genuine technical issue preventing you from accessing your purchase, contact us at sheryl@simplecryptoadvice.com within 30 days of purchase so we can help resolve it. If we cannot provide access due to our error, you may be eligible for a refund.
10.4 Legally Required Exceptions. Any legally required exceptions under applicable consumer protection law will be honored. To invoke these rights, contact us with documentation of your eligibility.
11.1 Maximum Liability. To the fullest extent permitted by law, our total liability to you for any claim related to your use of our Products will not exceed the amount you paid for the specific Product in question.
11.2 Exclusion of Damages. We are not liable for indirect, incidental, special, or consequential damages, including any losses related to cryptocurrency transactions, storage, or transfers made using guidance provided in our course.
11.3 Basis of Bargain. You acknowledge that this limitation of liability is an essential element of the agreement between you and Simple Crypto Advice.
You agree to indemnify, defend, and hold harmless Simple Crypto Advice, its owner, and any affiliates from and against any claims, liabilities, damages, or costs arising from your use of our Products, your violation of these Terms, or your handling of your own cryptocurrency.
13.1 Grounds for Termination. We reserve the right to suspend or revoke your access if you violate these Terms in any material way, including sharing or reselling our content, or engaging in abusive behavior toward us.
13.2 Notice and Opportunity to Cure. In most cases, you will receive written notice and a reasonable opportunity to resolve the issue. Severe violations may result in immediate termination.
13.3 Effect of Termination. Upon termination, your access to the Product will be revoked, and no refund will be issued.
14.1 Informal Resolution. If you have a concern or dispute related to your purchase, please contact us first at sheryl@simplecryptoadvice.com so we can work together toward a resolution. Most concerns can be resolved directly and informally this way.
14.2 Escalation. If a dispute cannot be resolved informally, either party may pursue the matter through applicable small claims court or other appropriate legal channels available under governing law.
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of laws principles. Any dispute arising under these Terms that cannot be resolved informally, as described in Section 14, shall be subject to the jurisdiction of the courts located in South Carolina, except where applicable consumer protection law requires otherwise.
16.1 Affiliate Relationships. We may promote or recommend third-party wallets, products, or services, including within upsell tools such as our wallet matchmaker. In some cases, we may receive affiliate commissions for these recommendations. Such relationships do not influence our educational content.
16.2 No Endorsement or Guarantee. Mention of any third-party product or service does not constitute a guarantee of results, quality, or fitness for purpose.
16.3 Third-Party Links. Our Products may contain links to third-party websites. We are not responsible for the content, accuracy, security practices, or terms of service of third-party sites. You access third-party sites at your own risk.
Simple Crypto Advice shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, internet or hosting provider failures, cyberattacks, or changes in law that prohibit our operations.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or posted on our website. Your continued use of our Products after any modification constitutes your acceptance of the revised Terms.
19.1 Privacy Policy. Your use of our services is also governed by our Privacy Policy, incorporated into these Terms by reference.
19.2 Data Collection and Use. By using our Products, you consent to the collection of personal information as described in our Privacy Policy, and to marketing communications subject to your opt-out rights.
20.1 Consent to Receive SMS. By providing your phone number at checkout and opting in, you consent to receive recurring automated marketing text messages from Simple Crypto Advice, including course updates and limited-time offers.
20.2 Message Details. Message and data rates may apply based on your carrier. Message frequency varies.
20.3 Opt-Out. Reply STOP to any message to unsubscribe. Reply HELP for assistance.
20.4 Not a Condition of Purchase. Consent to receive SMS is never required to complete a purchase.
Simple Crypto Advice does not currently operate public community features such as forums or group chats as part of this Product. If community features are introduced in the future, separate guidelines will apply.
22.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simple Crypto Advice regarding your use of our Products.
22.2 Severability. If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary, or severed, while the remaining provisions continue in full force.
We may assign or transfer our rights and obligations under these Terms without your consent, including in connection with a sale of the business. You may not assign your rights or obligations without our prior written consent.
You consent to receive communications from us electronically, including via email or SMS. By checking a box or completing a purchase on our platform, you are providing a legally binding electronic signature.
25.1 FTC Compliance. We comply with the Federal Trade Commission Act, including requirements for clear and conspicuous disclosures and guidelines concerning testimonials and endorsements.
25.2 CAN-SPAM Compliance. Our email marketing complies with the CAN-SPAM Act, including clear identification, accurate subject lines, and honoring opt-out requests promptly.
25.3 TCPA Compliance. Our SMS marketing complies with the Telephone Consumer Protection Act, including obtaining consent before sending marketing texts and honoring opt-out requests immediately.

Our Products are intended for users in jurisdictions where such Products are legal. If you access our Products from outside your home country, you do so at your own risk and are responsible for compliance with local laws.
